What is not covered
We are transparent about costs. As a nonprofit we cover all our service fees, but there is one cost we cannot waive: the mandatory state government filing fee. This goes directly to the US state government and is required by law.
State filing fee: $50 to $300 depending on the state. Examples: Wyoming $100, Delaware $90 (LLC) / $89 (C-Corp), Florida $125.
Annual reports: in subsequent years most states charge a small annual report fee ($50–$300).
Why we do this for free
Nexa Hub is a registered 501(c)(3) nonprofit organization in the United States (EIN 93‑4064719). Our mission is to remove the barriers that stop talented entrepreneurs from building businesses in the US.
Other services typically charge $300 to $1,500+ just to fill in a form. For many founders abroad, those fees are the difference between launching a business and not. We believe everyone deserves a fair start.
Our work is funded by donations from successful alumni, grants, and partners who share our mission. You can give back when your business grows — but you are never obligated to.
Frequently asked questions
Do I need to visit the USA?
No. The entire process can be completed remotely from anywhere in the world. All documents are signed electronically.
How long does it take?
Usually 1 to 4 weeks for incorporation. Getting your EIN takes additional time — typically 1 week if you have an SSN/ITIN, or 4–8 weeks otherwise.
Which state should I incorporate in?
The most popular states for foreign founders are Delaware, Wyoming and Florida. We recommend the best state for your specific business during your free consultation.
Will I become a US tax resident if I open a company?
No. Owning a US company does not make you a US tax resident. Tax residency depends on your physical presence and immigration status, not on company ownership. We will explain the tax implications during your free consultation with a CPA.
Is the service really free, or are there hidden fees?
It is genuinely free for the service itself. The state filing fee goes to the state government, not to us. Beyond the state fee, two other costs are paid by you: a virtual US business address and the registered agent service. We will share exact amounts and all the details during the free consultation.
What about LLC vs C-Corp — which is right for me?
It depends on your goals. LLCs are simpler and better for service businesses or single-owner companies. C-Corps are required if you plan to raise venture capital or have multiple investors. We will help you decide on the call.
Do you help with opening a US bank account?
Yes, we provide guidance. We cannot open the account for you (the bank requires you to apply directly), but we share the list of banks and fintech services that work with non-resident founders, the documents you will need, and the step-by-step process.
