USA — new opportunities for business

Opening a US company from abroad sounds simple — until you start asking the right questions. Which state? LLC or C-Corp? Which fees? What about taxes?

What we do — at a glance
Free
Consultation with our manager
$1
Registration itself
+ fees
Only external, mandatory

As a 501(c)(3) nonprofit, we partner with US CPA and law firms that agreed to consult Nexa Hub participants for free or at a minimal price — within their capacity. Services that cost hundreds or thousands of dollars at commercial providers come to you free or for a token amount through us.

1

Help you choose the right state

The US has 50 states, each with its own fees and rules. Your choice drives annual cost, privacy and sometimes investor access.

Delaware
Default for VC-backed startups. Strong corporate law, higher annual franchise tax.
Wyoming
Popular for LLCs. No state income tax, $100 fee, member privacy.
Florida
For services and e-commerce. No state income tax on individuals, mid-range fees.
Others
Texas, New York, Nevada and more — each with advantages for specific models.

Your manager asks about your business and explains which state actually fits.

2

Help you choose the entity type

Two main choices — LLC and C-Corp. Not interchangeable: different tax treatment, different investor expectations.

LLC
Simpler, flexible, pass-through taxation. Good for services, freelancers, e-commerce, real estate.
C-Corp
Required for US venture capital and angel investors. Standard for scaling startups.
The wrong choice costs years of friction: converting LLC → C-Corp before a round means paying lawyers, accountants and state fees twice.
3

What it actually costs

Commercial services charge $300–$1,500+ for form-filling plus hidden fees. With us it's transparent.

For our $1 you get:
  • Preparation of incorporation documents
  • Filing with the state on your behalf
  • EIN application with the IRS
  • Manager support through every step
Billed separately (external, mandatory):
State filing fee
Government payment to the state of incorporation
$50 – $300
Address rental
Only if you don't have a US address
$10 – $30 / mo
Registered agent
Only if you don't have your own address
$50 – $150 / yr
Live in the US? — You save
If you register at your residential address, you skip address rental and the registered agent. Your total: our $1 + the state filing fee.

From year two, most states charge an annual report fee ($50–$300). We tell you up front.

Taxes, legal, banking — manager answers

Your manager covers the big picture for free. If you need a licensed CPA or attorney, the request is routed to our partners (see below).

Federal and state taxes — overall picture
Pass-through taxation for an LLC owned by non-resident
IRS forms (1120, 5472, 1065) — which apply
Annual reports and "good standing"
Operating Agreement (we provide templates)
What banks expect when opening an account
5

US business bank account

Opening a business account is a separate step. Your manager walks you through it, free of charge.

Banks that work with non-residents
Mercury, Relay, Wise Business — fintech. Chase, Bank of America — traditional. Each with its own speed and requirements.
What they typically request
Articles of Organization, EIN from IRS, Operating Agreement, founder's passport, sometimes proof of address.
Timeline
From 1 day (fintech) to several weeks (traditional banks).

You open the account in person — banks do not allow third-party access. We prep the application so it goes through on the first try.

6

CPA & legal — through our partners

This is the most valuable part of our model. Nexa Hub doesn't deliver CPA services itself — we are a nonprofit, not an accounting firm. We built a network of US professional partners.

Market rates vs. what you get through us:
One-hour CPA consultation
$200 – $500 → free or minimal price
One-hour attorney consultation
$300 – $700 → free or minimal price
Operating Agreement, contracts
hundreds to thousands $ → free or minimal price
When you'd want this:
  • Tax structure for a non-resident, double-taxation risk
  • Funding round — attorney's read on corporate structure
  • Contracts, IP, partnership agreements
  • Form 5472 and IRS treatment of an LLC with a foreign owner
